CONSTITUTION & BYLAWS AMENDED
MCAA Membership Votes Overwhelmingly
To Adopt Associate Member Status
By a landslide mail ballot vote conducted during the month of August, 1979, the MCAA Membership approved a change in the Association's Constitution & Bylaws which adds a new classification of Membership-Associate-and clarifies sections of Article III pertaining to Membership. The official tally of votes was conducted in the MCAA Executive Office by Secretary Don Leonard of St. Louis, Mo., assisted by Robert Tubesing, Treasurer, Milwaukee, Wis., and George A. Miller, Executive Vice President, Oakbrook Terrace, III. The ballot count was officially certified in a letter to the Membership on September 1, 1979.
With 93 percent of the vote favoring the new provisions of the Constitution & Bylaws, this complies with Article XXI, Section 2 of the Constitution & Bylaws that requires a two-thirds vote for any change to be made effective.
The final returns indicated the deep support for the provisions recommended by the Constitution & Bylaws Committee and endorsed by the Executive Board at the 1979 Summer Executive Board meeting.
The mail ballot was promulgated by Executive Order of MCAA President Eugene George, with full endorsement of the Constitution & Bylaws Committee and unanimous approval of the Executive Board.
Amended Article III-Membership now reads as follows (Paragraph 2, Part B, Section 1 dealing with the new Associate Membership category appears in bold type):
ARTICLE III
# Membership
Section 1. Classes of Membership
A. Regular Members. Regular members of the Association shall constitute the voting body of the Association. Voting shall be in accordance with Article IV.
1. Chapter Membership. Any local Association of Mason Contractors properly constituted and primarily interested in the promotion of the Mason Contracting Industry, shall be eligible for membership in this Association. All Mason Contractors of each local Association must become members or the Association will not be eligible for membership.
2. Individual Membership. Where no such local Association of Mason Contractors is established, any individual, firm, or corporation regularly engaged in and primarily interested in the promotion of the Mason Contracting Industry, shall be eligible for membership in this Association. It shall be the prime duty on the part of the individual member to encourage the organization of Mason Contractors in his jurisdiction.
If, in any particular area a local Mason Contractors Association is established but not affiliated with this Association, the Executive Board may grant an Individual Membership provided this member agrees to work for the affiliation of the nonmember group into this Association. This class of membership must be renewed by the Executive Board annually.
3. Canadian Membership. Any one of the foregoing classes of membership shall be available to a Canadian firm, corporation, partnership or sole ownership or Chapter on the same conditions as those required for membership in the United States provided the main office of the Canadian applicant (company, etc.) is in Canada and the applicant is a member of the Canadian Masonry Contractors Association.
B. Participating Members. Participating Members shall constitute the non-voting body of the Association and shall be of the following classes:
1. Honorary Membership. Honorary Membership is defined as any person who has been a member of an MCAA chapter and active in masonry contracting business for at least ten (10) years and has retired from active business and is an honorary member of his local MCAA chapter, shall be eligible for an honorary membership in the Mason Contractors Association of America. An honorary member shall not be eligible to hold office, have voting privileges, unless so designated by his chapter for a special assignment, or be required to pay dues. This class of membership to be conferred by the Executive Board.
2. Associate Membership. Associate Members are any firm or individuals engaged in the manufacturing and/or supplying of materials, equipment or services used by regular members of this Association. Any eligible firm or individual shall make application for membership in writing upon forms prescribed by MCAA. All applications shall be subject to approval by the Executive Board. There shall be three classes of Associate Membership: 1) National exhibitors of the Annual Meeting and Conference; 2) Non-exhibitors of the Annual Meeting and Conference; 3) Local chapter members if the local chapter member desires.
a) Associate membership shall have no vote.
b) Dues, benefits, privileges and obligations of the Associate Member shall be determined from time to time by the Executive Board. No Associate Member shall be liable financially for other than the prescribed dues.
c) Associate Members shall not be deemed regular members in good standing or to constitute a quorum for any Association affairs.
d) Associate Members shall designate representatives who shall serve as information advisors to the Executive Committee. In addition, they may be selected to serve on a committee.
